Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Otanes platform, website, and related services provided by Otanes, Inc. (“Otanes”, “we”, “us”, or “our”). By accessing or using Otanes, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Definitions

• “Platform” refers to the Otanes education infrastructure platform, including the web application, APIs, embeddable widgets, and all related services.
• “Academy Owner” refers to any individual or organization that creates and manages an academy on the Platform.
• “Learner” refers to any individual who enrolls in or accesses courses through an academy on the Platform.
• “Content” refers to courses, lessons, media, assessments, and any other material created or uploaded to the Platform.
• “Workspace” refers to an Academy Owner's isolated environment on the Platform, including their academies, content, learner data, and configuration.

2. Account Registration

You must create an account to use the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Otanes supports magic link (passwordless) authentication and SSO integration. You must notify us immediately of any unauthorized use of your account.

3. Use of the Platform

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform to distribute content that is illegal, harmful, fraudulent, or infringes on the rights of others
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure
• Interfere with or disrupt the Platform or the servers and networks connected to it
• Use automated means (bots, scrapers) to access the Platform without prior written permission
• Resell, sublicense, or redistribute access to the Platform except as expressly permitted by your plan
• Impersonate any person or entity, or falsely represent your affiliation with any entity
• Upload or transmit malware, viruses, or any other harmful code

4. Academy Owner Responsibilities

As an Academy Owner, you are responsible for:

• The content you publish through your academy, including its accuracy, legality, and compliance with applicable regulations
• Managing learner data in compliance with applicable privacy laws and your own privacy policy
• Ensuring that any use of custom domains, branding, or white-label features complies with third-party intellectual property rights
• Providing clear terms and disclosures to your learners regarding data collection, payment, and course access

Otanes provides the infrastructure — you are responsible for how you use it.

5. Content Ownership and Intellectual Property

You retain all rights to the content you create and upload to the Platform. By uploading content, you grant Otanes a limited, non-exclusive license to store, process, display, and distribute your content solely for the purpose of operating the Platform and providing the services. This license terminates when you delete the content or close your account.

The Otanes platform — including its design, code, features, documentation, and branding — is owned by Otanes, Inc. and is protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works of the Platform.

6. Payment and Billing

Paid plans are billed on a monthly or annual basis, as selected at the time of purchase. All fees are stated in US dollars unless otherwise specified. You authorize Otanes to charge your payment method on file for all applicable fees.

Payments are processed through Stripe (for global transactions) and Zarinpal (for regional transactions). Academy Owners who monetize their courses may collect payments from learners through the Platform's integrated payment infrastructure.

Subscription fees are non-refundable except where required by applicable law or as expressly stated in our refund policy. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle.

We reserve the right to change pricing with 30 days' written notice. Price changes will not affect the current billing period.

7. Free Trials

We may offer free trial periods for paid plans. During a free trial, you will have full access to the features included in that plan. At the end of the trial, your subscription will automatically begin unless you cancel before the trial expires. No credit card is required to start a free trial.

8. Termination

You may close your account at any time through the Platform settings or by contacting support. Upon account closure, your access will be revoked, and your data will be retained for 30 days before permanent deletion, unless a longer retention period is required by law.

We may suspend or terminate your account if you breach these Terms, engage in conduct that is harmful to other users or the Platform, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice before termination except where immediate action is necessary to protect the Platform or its users.

9. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. Scale plan customers receive SLA commitments as specified in their service agreements. We are not liable for any loss or damage resulting from service interruptions beyond our reasonable control.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTANES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO OTANES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold Otanes harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law or where injunctive relief is sought.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
